Valor Energy Raises $5 Million to Fund Computing Center Acquisition in Youngstown, Ohio
Valor Energy Inc. (Nasdaq: VAI) has secured approximately USD 5 million in gross proceeds from a private placement, financing it will direct toward acquiring a computing center in Youngstown, Ohio, and converting the site into an AI data center.
The company entered into a securities purchase agreement on October 19, 2026 with certain investors, issuing 2,145,923 shares of common stock at USD 2.33 per share. Proceeds are calculated before deduction of offering expenses.
The financing announcement followed on October 26, 2026, the same day the company disclosed details of the planned acquisition and its broader development plans.
Terms of the Offering
Under the securities purchase agreement dated October 19, 2026, investors purchased 2,145,923 common shares at a price of USD 2.33 each, producing aggregate gross proceeds of roughly USD 5 million prior to offering expenses.
The securities were not registered under the Securities Act of 1933, as amended, or under applicable state securities laws, and may not be offered or sold in the United States without registration or an available exemption.
The company stated that its announcement does not constitute an offer to sell or a solicitation of an offer to buy the securities in any state or jurisdiction where such an offer, solicitation, or sale would be unlawful.
Additional transaction details were filed with the Securities and Exchange Commission in a Form 8-K on October 23, 2026.
The Youngstown Site and Purchase Price
On October 19, Valor announced it had agreed to acquire the entity holding a computing center at 1911 Logan Avenue in Youngstown, Ohio.
The facility carries 18MVA of power capacity through an existing 23kV utility interconnection with Ohio Edison and encompasses approximately 30,890 square feet.
The purchase price for all outstanding equity interests of the holding entity is USD 3.6 million, subject to adjustment under the acquisition agreement.
Closing remains contingent on due diligence and other conditions, and the company cautioned there is no assurance the transaction will be completed on the terms described, or at all.
Allocating the New Capital
Valor plans to deploy the net proceeds primarily toward developing its AI data center business.
Beyond the USD 3.6 million acquisition consideration, funds are earmarked for converting the roughly 30,890-square-foot building into an AI data center engineered for artificial intelligence and high-performance computing workloads.
That conversion would encompass design, construction, equipment procurement, and permitting and would begin only after the acquisition closes.
The company also intends to spend on building operational capabilities and customer relationships needed to bring AI computing capacity to market and on evaluating additional U.S. sites that already have power infrastructure.
Any remaining proceeds will support working capital and general corporate purposes.
Dave Nichols, strategic advisor to Valor Energy Inc., said the company intends to use the proceeds primarily toward the proposed Youngstown acquisition and the initial stages of its planned conversion into an AI data center.
He noted that completion of the acquisition and development of the site remain subject to closing conditions and further development work, including the availability of sufficient funding, and thanked investors for their support.
Company Background and Strategic Shift
Valor Energy is a Nasdaq-listed company that historically ran automobile transaction and related services businesses and is now pursuing opportunities in digital infrastructure and energy, including U.S. AI and data center infrastructure.
Until recently it operated under a different identity: formerly known as Senmiao Technology Limited, it announced its name change to Valor Energy Inc. on August 26, 2026, when it traded under the ticker AIHS.
Its stated strategy focuses on acquiring sites with existing power infrastructure for potential AI data center development across the United States.
The company emphasized that the timing and scope of any development remain subject to completing the acquisition, further design, construction, equipment and permitting work, and the availability of sufficient funding.
Risks Flagged by the Company
In its announcement, Valor identified a range of risks and uncertainties that could affect its plans.
These include market conditions, satisfaction of closing conditions, the outcome of due diligence, the availability of power, equipment and permits, construction costs and timelines, uncertainty over the usable IT load the site's power infrastructure can support, whether existing power arrangements will continue after closing, and the availability and cost of additional financing for development.
The company said it undertakes no obligation to update forward-looking statements except as required by law.
