Fort Technology Closes 50.1% Acquisition of Logia USA to Bring Fuel Integrity Solutions to U.S. Data Centers
Fort Technology Inc., a majority-owned subsidiary of Nexera Technologies Ltd, has completed its acquisition of a 50.1% stake in Logia USA Inc., a company focused on selling advanced fuel integrity solutions for data centers and other mission-critical facilities across the United States.
The deal marks a notable strategic pivot for Fort, a company whose existing operations center on pest control and remedial consumer products sold through Amazon marketplaces in the United Kingdom and Europe.
Nexera Technologies, which trades on the Nasdaq under the tickers NEXR and NEXRW, holds approximately 70.19% of Fort Technology's issued and outstanding common shares. Fort Technology itself trades on both the TSX Venture Exchange under the symbol FORT and on Nasdaq under FRTT.
Deal Structure and Financial Terms
Under the terms of the transaction, Fort acquired its 50.1% equity interest in Logia USA in exchange for 132,603 newly issued Fort common shares, with an aggregate value of approximately USD 125,000. Following the closing, the remaining 49.9% of Logia USA's outstanding common stock is held by the company's founder.
Alongside the equity transaction, Fort entered into a credit facility agreement with Logia USA, providing an unsecured USD 2.0 million credit line intended to support Logia USA's U.S. market entry, product development, operations, and growth.
The credit facility will be advanced in tranches tied to agreed operational and sales milestones, carries an interest rate of 6% per annum, and is governed by the repayment terms set out in the credit facility agreement.
The transaction also includes an equity rebalancing mechanism, disclosed previously, under which Fort's 50.1% ownership interest in Logia USA may be reduced upon the achievement of specified sales and profitability thresholds.
The Technology Behind Logia USA
Logia USA is the U.S.-facing vehicle for the commercialization of technology developed by Logia Israel Ltd.
Logia Israel's automated systems are designed to provide continuous monitoring and filtration aimed at maintaining fuel quality for standby power generation equipment.
The parties intend to expand these capabilities into the United States through Logia USA, with the data center sector identified as the primary target market.
Backup power reliability is a critical concern for data centers, which depend on diesel generators and fuel reserves to maintain operations during grid outages.
Fuel degradation over time can compromise generator performance at precisely the moments that standby systems are most needed. Logia's continuous monitoring and filtration approach is positioned as a solution to that operational vulnerability.
Fort Technology's Existing Business
Fort Technology's core operations remain in consumer products, specifically pest control and remedial repair products sold under proprietary brands including Roshield, Entopest, Rempro, and BirdGo.
The company markets and sells these products to both amateur and professional customers, primarily through Amazon marketplaces in the United Kingdom and continental Europe, as well as through other online sales channels.
The acquisition of Logia USA represents Fort's stated intention to expand its retail and commercial operations into the United States, a move that the company noted remains subject to applicable regulatory approvals.
Nexera's Broader Business Operations
Nexera Technologies describes itself as a data-driven company with operations spanning e-commerce and advanced technologies for the global homeland security sector. Its operations are conducted through three principal lines of business.
The first is KeepZone AI Inc., a wholly owned subsidiary dedicated to distributing and promoting artificial intelligence-powered homeland security technologies.
Those technologies include 3D imaging and electromagnetic threat detection, perimeter intrusion detection, counter-unmanned aircraft systems, and multi-layered security solutions for critical infrastructure.
The second line of business is its involvement with Fort Technology.
Nexera originally transferred its Fort Products Limited legacy consumer products operation to Fort Technology in July 2025 in exchange for a controlling equity interest.
Since then, the company has reduced its stake in Fort while retaining control and strategic involvement in related e-commerce activities.
The third line consists of ongoing legacy e-commerce activities, described as data-driven online retail operations conducted primarily on the Amazon Marketplace through wholly owned subsidiaries including Smart Repair Pro and Top Rank Ltd.
