Digi Power X Inc. (Nasdaq:DGXX)(Cboe Canada:DGX) disclosed on October 13, 2026, that it has obtained a commitment letter from a major lending institution for USD 200 million in debt financing, with Goldman Sachs acting as syndicator.

The funds are earmarked for the company's 40 MW AI data center in Columbiana, Alabama.

Project-Level Structure with 90-Day Closing Window

Under the terms described, the debt will sit at the project special purpose vehicle level, backed by an unsecured company guarantee through project completion and other limited matters.

Closing is anticipated within 90 days, contingent on definitive documentation and the lender finishing its diligence efforts, along with satisfaction of other conditions.

According to the company, the proceeds will fund completion of the Alabama facility and associated project costs, an approach management says will preserve corporate liquidity, limit dilution for shareholders, and leave Digi Power X positioned to chase additional customer contracts.

Michel Amar, Chairman and Chief Executive Officer, framed the commitment as an important step toward finishing the Alabama campus while limiting shareholder dilution.

He noted the company is moving from infrastructure development toward revenue generation, with Alabama construction on schedule, its first modular GPU deployment running successfully, and expansion plans advancing across the portfolio.

Balance Sheet Snapshot and Q3 Equity Discipline

On the announcement date, Digi Power X reported roughly USD 135 million in cash on hand and approximately USD 153 million in capital expenditures invested year to date in 2026.

The company also confirmed it sold no shares under its at-the-market equity offering program during the third quarter of 2026, meaning no ATM-related dilution occurred in the period.

Alabama Timeline Points to Year-End Phase 1

Construction at the 40 MW Columbiana campus is tracking to plan, with Phase 1 slated for completion in December 2026 and Phase 2 in March 2027.

The financing commitment arrives as the project approaches its first delivery milestone.

First Modular Deployment Running Since May

The company's initial ARMS 200 modular data center has been in successful operation since May 2026, underpinning its GPU bare-metal business.

Digi Power X says the deployment shows it can manage the full infrastructure behind these services, spanning power, cooling, data center operations, and GPU systems.

The company's collaboration with Super Micro Computer, Inc. provides customers with dedicated, bare-metal access to NVIDIA Blackwell GPUs, allowing AI workloads to run without customers building or operating the infrastructure themselves.

Supermicro recently publicized the partnership, which Digi Power X says highlights Supermicro's role in powering its full-stack AI offering.

Token Factory Growth Via NeoCloudz and NVIDIA GTC Berlin

Through its NeoCloudz platform, Digi Power X intends to grow its AI token factory infrastructure, leaning on the proprietary ARMS modular data center systems of US Data Center, Inc., a subsidiary in which the company is the largest shareholder, to enable rapid deployment.

The expansion is designed to back planned growth in GPU bare-metal services and AI token generation, building on the initial ARMS 200 rollout with additional modular capacity to serve customer demand and expand recurring AI infrastructure revenue.

Alec Amar, President of Digi Power X, said the company is excited to unveil its AI token factory at NVIDIA GTC Berlin, adding that Digi Power X owns the whole stack, from the power to the data center to the computer, and that this is how it delivers fast, affordable inference at scale.

New York Sites Slated for Conversion

In New York State, the company is planning to repurpose its existing sites into AI token factories, adding capacity for GPU bare-metal services and AI token generation.

The planned conversion, per the announcement, is intended to lower site noise levels and feature closed-loop cooling systems that recirculate coolant to minimize water consumption without routine evaporative water use.

Silicon Valley Lab Tapped for Token Factory Technology

Digi Power X has also purchased an office and laboratory facility in Silicon Valley dedicated to developing the technology and operational intelligence behind its AI token factory strategy.

The company says it is assembling talent in engineering, artificial intelligence, and software development to speed innovation and deepen its capabilities as it grows its GPU infrastructure and AI services.

Company Description and Investor Caution

Digi Power X positions itself as a fully integrated AI infrastructure company controlling the whole stack, from power generation and data centers to the computers running AI workloads.

Its offerings cover colocation for enterprise and hyperscale customers, bare metal GPU rental, and a token factory delivering AI inference at scale.

The company states that because it owns the power, the infrastructure, and the compute, it can bring capacity online faster and more affordably.

The announcement also carried a cautionary statement advising that trading in the company's securities should be viewed as highly speculative and that no stock exchange, securities commission, or other regulatory authority has approved or disapproved the information contained in the release.
