WhiteFiber, Inc. has entered into a definitive agreement to acquire two industrial properties in Yadkin County, North Carolina, for a combined cash purchase price of USD 60 million, the company announced on August 17, 2026.

The NASDAQ-listed company, which trades under the ticker WYFI, plans to retrofit the properties into data center campuses it is designating NC-2 and NC-3, extending its existing footprint in the state through its wholly owned subsidiary Enovum Data Centers Corp.

Two Sites, 200 MW Potential

The two Yadkin County properties are expected to provide a combined minimum of 60 megawatts of initial gross utility capacity. WhiteFiber's initial due diligence indicates the sites have the potential to support up to approximately 200 megawatts of combined gross utility capacity over time.

The company is targeting initial ready-for-service capacity in the third quarter of 2027, subject to completion of the acquisition and customary development conditions.

The sites are located approximately 55 miles from WhiteFiber's existing NC-1 data center campus in Madison, North Carolina.

The company said the proximity to NC-1 is a deliberate factor in the selection of the sites, as it would allow WhiteFiber to draw on the regional development experience, operating capabilities, and relationships already established through its first North Carolina campus.

Retrofit-First Development Strategy

WhiteFiber described the acquisitions as consistent with what it calls a retrofit-first development strategy. Under this approach, the company targets properties with existing industrial infrastructure and surrounding land rather than pursuing traditional greenfield development.

The company said this strategy is designed to accelerate time-to-market and improve capital efficiency relative to greenfield alternatives.

The existing industrial infrastructure at both Yadkin County sites was cited by the company as particularly well suited to this approach.

WhiteFiber did not disclose the prior use of the two properties or provide additional details about the scope of retrofitting work required to bring them to data center operational readiness.

Customer Interest and Letters of Intent

WhiteFiber said it is engaged in advanced discussions with prospective customers for the two new sites and has received non-binding letters of intent backed by investment-grade credit support.

The company did not name any of the prospective customers or disclose the terms or scale of the letters of intent.

The company described the prospective customer interest as strong, and Chief Executive Officer Sam Tabar pointed to that interest as a signal of the sites' commercial potential.

"NC-2 and NC-3 would expand our North Carolina footprint near NC-1, allowing us to build on the capabilities and relationships we have established in the region," Tabar said in the announcement.

"With strong prospective customer interest and initial capacity targeted for 2027, we believe these properties can become a meaningful next phase of our growth."

Transaction Timing and Terms

The acquisition is expected to close in the fourth quarter of 2026, subject to customary closing conditions.

The USD 60 million purchase price represents the cash consideration for both properties combined.

WhiteFiber did not disclose a per-site breakdown of the purchase price or provide additional details on the financing of the transaction.

The transaction is being executed through Enovum Data Centers Corp., WhiteFiber's wholly owned subsidiary.

The company did not elaborate on the specific role Enovum plays in structuring or operating its data center assets beyond identifying it as the vehicle through which the definitive agreement was entered.

WhiteFiber describes itself as a provider of artificial intelligence infrastructure solutions. The company owns high-performance computing data centers and provides cloud services to customers.

According to the company, its vertically integrated model combines specialized colocation, hosting, and cloud services that are engineered to maximize performance, efficiency, and margin for generative AI workloads. Tabar framed the Yadkin County agreement within the company's broader growth ambitions.

"This agreement is an important next step in scaling WhiteFiber's data center platform," he said.

North Carolina Expansion Context

The addition of NC-2 and NC-3 would represent a significant expansion of WhiteFiber's North Carolina presence beyond its existing Madison campus.

At full build-out, the two new sites could collectively support approximately 200 megawatts of gross utility capacity, though the company noted that figure represents potential rather than a committed development plan, and that initial capacity at launch is expected to be at least 60 megawatts combined.

The third-quarter 2027 target for initial ready-for-service capacity at the new sites is contingent on the successful closing of the acquisition as well as what the company described as customary development conditions, without specifying what those conditions entail.

The transaction itself is not expected to close until late 2026, leaving a window of roughly three quarters between the anticipated closing and the initial capacity target date.
